These Terms and Conditions ("Terms") govern your use of the BrightLedger website and accounting services (collectively, the "Services") operated by BrightLedger ("we," "our," or "us").
By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.
2. Service Description
BrightLedger provides professional accounting services, including but not limited to bookkeeping, tax reporting, and corporate compliance services for businesses in Canada.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.
3. User Accounts
When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Services.
You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
4. Fees and Payment
Certain Services may require payment of fees. You agree to pay all fees specified at the time of purchase.
All fees are quoted in Canadian Dollars (CAD) and are subject to change upon reasonable notice. You are responsible for all taxes associated with your use of the Services.
Payments are non-refundable except as expressly set forth in these Terms or as required by applicable law.
5. Intellectual Property
The Services and their original content, features, and functionality are and will remain the exclusive property of BrightLedger and its licensors.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of BrightLedger.
6. User Content
You retain all rights to any content you submit, post, or display on or through the Services ("User Content").
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing the Services.
You represent and warrant that you own or have the necessary rights to the User Content and that the User Content does not infringe the rights of any third party.
7. Limitation of Liability
In no event shall BrightLedger, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Services;
- Any conduct or content of any third party on the Services;
- Any content obtained from the Services; and
- Unauthorized access, use, or alteration of your transmissions or content.
This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.
8. Indemnification
You agree to defend, indemnify, and hold harmless BrightLedger and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Services;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
- Any claim that your User Content caused damage to a third party.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date at the top.
By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.
